Terms and Conditions
Article 1. Purpose

The purpose of these terms and conditions is to establish a transparent and fair framework for the use of the PFD’s online marketplace operated by PFD Co., Ltd. (the “Company”). By outlining the rights, responsibilities, and expectations of both the Company and its customers, these terms aim to create a positive and secure online shopping experience. The provisions herein are designed to protect the interests of both parties, foster trust, and ensure compliance with applicable laws and regulations. Customers are encouraged to read these terms and conditions carefully, as they form the basis for the contractual relationship between the Company and its valued customers.

Article 2. Definitions

For the purposes of these terms and conditions:

Mall

Refers to the online platform operated by the Company including its website, mobile application, or any other digital channel where products are displayed and transactions take place.

Customer(s) or User(s)

Refers to any individual(s) or entity(-ies) accessing and utilizing the Services (as defined below) provided by the Mall, including but not limited to browsing, ordering, and interacting with Content.

Terms and Conditions

Refers to this document outlining the rights, responsibilities, and agreements between the Company and its customers in the context of using the Mall.

Products

Refers to the cosmetic items or merchandise offered for sale by the Company through the Mall.

Shipping Policy

Refers to the document that outlines the terms, conditions, and procedures related to the shipment and delivery of products to Customers. It is separate from but related to these Terms and Conditions, as described in Article 6 below and is also provided as a separate document.

Privacy Policy

Refers to the document outlining how the Company collects, uses, and protects Customer information. It is separate from but related to these Terms and Conditions, as described in Article 11 below and is also provided as a separate document.

Cookies Policy

Refers to the document that elucidates the utilization of cookies and outlines the types of cookies used, their purposes, and how users can manage or disable them. It is separate from but related to these Terms and Conditions, as described in Article 12 below and is also provided as a separate document.

Shipping Guidelines

Refers to a set of documented instructions or rules provided by the Company to delineate the procedures and expectations related to the shipment and delivery of the Products. It is separate from but related to these Terms and Conditions, as described in Article 6 below and is also provided as a separate document.

Content

Refers to any text, images, logos, product descriptions, or other materials presented on the Mall, whether created by the Company or provided by third parties.

Payment Methods

Refers to the accepted forms of payment specified by the Company for completing transactions on the Mall.

Return Policy

Refers to the guidelines and procedures established by the Company governing the return and refund process for products purchased through the Mall. It is separate from but related to these Terms and Conditions, as described in Article 7 below and is also provided as a separate document.

Intellectual Property

Refers to the copyrights, trademarks, patents, trade secrets, and any other proprietary rights owned by the Company.

Notification

Refers to any communication, alert, or message sent by the Company to customers, including but not limited to email notifications.

Services

Refers to the comprehensive range of offerings provided by the Company through the Mall, constituting the provision of Products and related functionalities as described in Article 9 below. For clarification, the term "Services" comprehensively encompasses the entirety of offerings provided by the Company to enhance and facilitate the online shopping experience for its customers.

Member

Refers to any Customer or User who has completed the registration process on the Mall for the Services. Members gain access to enhanced features, personalized services, and exclusive offers, subject to the provisions set forth in this Terms and Conditions.

Membership Subscription (Service)

Refers to any membership or subscription offering provided by the Company through the Mall, as described in Article 12 below.

Article 3. Acceptance of Terms

(1)By accessing and utilizing the Company Mall, Customers hereby acknowledge and agree that they have read, understood, and consent to be bound by the terms and conditions set forth herein

(2)The Company reserves the right to modify or update these Terms and Conditions at its sole discretion without prior notice. Continued use of the Mall after any such changes constitutes acceptance of the modified Terms and Conditions.

(3)The use of certain Services within the Mall may be subject to additional terms and conditions, which shall be deemed incorporated into these Terms and Conditions.

Article 4. Product Information

(1)While the Company endeavors to provide accurate and up-to-date information about its Products, the Mall's Content, including Product descriptions, pricing, and related information, may be subject to errors or inaccuracies.

(2)The Company retains the right to rectify any errors, inaccuracies, or omissions and to modify or update information at any time without prior notice.

Article 5. Orders and Payments

(1)Placing an order on the Mall constitutes an offer to purchase Products. All orders are subject to acceptance by the Company.

(2)Payment for orders, inclusive of Product costs, taxes, and shipping fees, must be made using the accepted payment methods as outlined on the Mall.

(3)The Company reserves the right to refuse or cancel any order for reasons including, but not limited to, Product unavailability, errors in pricing, or suspected fraudulent activity.

(4)Prices are subject to change without notice, and Customers are responsible for reviewing the final order total before completing the transaction.

Article 6. Shipping and Delivery

(1)The Company is committed to expeditiously processing and dispatching orders. The Company’s Shipping Guidelines, available separately, provide detailed information on this process. The Company aims to enhance Customer understanding, manage expectations, and ensure a smooth and transparent shipping process by providing clear and comprehensive Shipping Guidelines. Nevertheless, delivery times are approximate and may vary due to factors beyond the Company’s control.

(2)Customers are responsible for providing accurate shipping information, and the Company shall not be held liable for orders delivered to incorrect addresses.

(3)The risk of loss and title for products pass to the Customer upon delivery to the carrier.

(4)International orders may be subject to additional customs duties, taxes, or fees, for which the customer is solely responsible.

Article 7. Returns and Refunds

(1)The Company provides a comprehensive return policy on the Mall. Customers are encouraged to review the Return policy, which is provided separately, to understand the conditions under which Products can be returned and refunded.

(2)In the event of damaged or defective Products, Customers must notify the Company customer service within seven (7) days of receiving the order for prompt assistance.

(3)Refunds may be issued in accordance with the Return Policy and will be processed through the original Payment Method.

Article 8. Duties of the Company

The Company, in these terms and conditions, is dedicated to fulfilling the following professional commitments:

Product Information Accuracy

(a)The Company strives to provide accurate and up-to-date information regarding its Products, including ingredients, usage instructions, and safety guidelines.

(b)Any changes or updates to product information will be communicated transparently to Customers through the Mall or other designated channels.

Order Processing and Fulfillment

(a)The Company is committed to efficiently processing and fulfilling customer orders.

(b)In case of any delays or issues in order processing, the Company will diligently communicate with Customers, providing relevant information about the resolution process.

Privacy and Data Security

(a)The Company adheres to strict privacy and data security standards to protect the personal information provided by customers.

(b)Customer data will be handled in accordance with applicable data protection laws and the Company's privacy policy, which is provided separately.

Customer Support

(a)The Company is dedicated to providing accessible and responsive customer support to address inquiries, concerns, or issues raised by Customers.

(b)Communication channels for customer support will be clearly indicated, and the Company will promptly respond to Customer queries.

Product Quality and Safety

(a)The Company is committed to maintaining high standards of quality and safety for its Products.

(b)In the event of any product recalls or safety-related issues, the Company will promptly communicate with affected Customers, providing instructions for resolution.

Compliance with Laws

(a)The Company diligently complies with all relevant laws and regulations governing the production, sale, and distribution of the Products.

(b)Any changes in legal requirements that may affect Customers will be communicated through appropriate channels, with the Company actively keeping Customers informed.

Functionality and Security

(a)The Company ensures the ongoing functionality and security of the Mall, providing a positive and secure online shopping experience for Customers.

(b)Any planned maintenance or updates that may temporarily affect Mall accessibility will be communicated to Customers in advance, with the Company taking measures to minimize inconvenience.

Article 9. User Responsibilities and Account Security

By accessing or using the Products and related Services, users (referred to as "Members" where applicable) agree to the following responsibilities:

Account Information Accuracy

Members are responsible for providing accurate and truthful information during the registration and purchase process. This includes personal details, contact information, and payment details.

Account Security

(a)Members must maintain the security of their account, including usernames and passwords.

(b)Members are obligated to control access to their login IDs and passwords, with exceptions outlined in Article 18.

(c)Members shall not permit third parties to use their own IDs or passwords.

(d)If a Member becomes aware that their ID or password has been compromised or is being used by a third party, the Member must promptly notify the Company. The Member shall follow any directives provided by the Company in such instances.

Compliance with Laws

Members agree to comply with all applicable local, national, and international laws and regulations when using the Products. This includes adherence to any restrictions on the purchase, use, or import of certain products based on their jurisdiction.

Prohibited Activities

Members are prohibited from engaging in any activities that may harm the integrity of the Products, Services, or brand. This includes, but is not limited to, fraudulent activities, unauthorized use of intellectual property, and attempts to disrupt the functioning of the Mall or Services.

Product Usage

(a)Members should use the Products as directed, following any provided instructions, warnings, or guidelines.

(b)Any adverse reactions or issues should be reported to the Company’s customer support contact promptly.

Communication

(a)Members consent to receive communication from the Company regarding their account, orders, promotions, and other relevant information.

(b)Opting out of essential communications may affect their ability to use the Services.

Feedback and Reviews

(a)Members are encouraged to provide constructive and honest feedback and reviews.

(b)However, any content that is offensive, misleading, or violates the Company’s Content internal guidelines may be removed, and the Member may face consequences as per the Company’s policies.

Article 10. Provision and Change of Services

(1)Services Provision

The Services provided by the Company include the following

Product Presentation

The digital display and representation of Products, encompassing product details, descriptions, images, and pricing on the online platform.

Order Processing

The procedures and functionalities facilitating customers to place orders for Products through the Mall.

Customer Support

Access to assistance, guidance, and support Services offered by the Company to address inquiries, concerns, or issues raised by customers.

Information Access

The availability of information related to product details, usage instructions, safety guidelines, and any other pertinent Content provided by the Company.

Account Management

Features and functionalities allowing users to create, manage, and maintain their accounts on the Mall.

Communication

The exchange of information between the Company and Users, including notifications, updates, promotions, and other pertinent communications.

(2)The Company will make efforts to provide continuous and uninterrupted access to its Services, subject to maintenance, upgrades, and other operational requirements.

(3)Users acknowledge that the availability of Services may be affected by factors beyond the Company's control, including but not limited to internet connectivity, hardware and software issues, and force majeure events.

(4)Changes to Services

The Company reserves the right to modify, suspend, or discontinue any aspect of its Services at its discretion, with or without prior notice.

Changes to the Services may include updates, enhancements, removal, or addition of features, and other modifications deemed necessary by the Company.

The Company will make reasonable efforts to notify users of significant changes to the Service, but it is the responsibility of users to regularly review these Terms and Conditions for updates.

Users agree that the Company shall not be liable to them or any third party for any modification, suspension, or discontinuation of the Services.

Article 11. Intellectual Property

(1)All Content on the Mall, including but not limited to text, images, logos, and Product designs, is the exclusive property of the Company and is protected by copyright, trademark, and other Intellectual Property laws.

(2)Any unauthorized use, reproduction, or distribution of the Company's Intellectual Property without express written consent is strictly prohibited.

Article 12. Privacy Policy

(1)The Company is committed to safeguarding customer privacy. The Mall's Privacy Policy outlines how personal information is collected, used, and protected. By using the Mall, you consent to the practices described in the Privacy Policy, which is provided separately.

(2)Personal information provided by Customers will be handled in accordance with the Company's Privacy Policy.

Article 13. Cookies Policy

The Company may use cookies and similar technologies to enhance the customer experience and collect data for analytics purposes. The Company’s Cookies Policy is provided separately and Customers can manage cookie preferences through their browser settings.

Article 14. Suspension or Termination of Services

The Company expressly retains the right, without prior notice, to unilaterally suspend, modify, discontinue, or terminate, at its discretion, Customer access to the Mall for any violation of these Terms and Conditions or operational exigencies, including but not limited to maintenance, upgrades, security, or any other judiciously determined reason. Furthermore, the Company reserves the prerogative to similarly suspend, modify, discontinue, or terminate, wholly or partially, the provision of Mall services under analogous circumstances.

The Company shall not be liable to Customers or any third party for any modification, suspension, discontinuation or termination of the Mall services.

Customers may terminate their account or cease using the Mall at any time.

Article 15. Membership Subscription

(1)Cognizant of the mutual commitment inherent in the membership relationship, the Company extends the option of a Membership Subscription. By electing to enroll in the Company’s membership, Users expressly enter into an agreement with the Company that meticulously regulates their access to and utilization of exclusive benefits intricately associated with the Products. To become a Member, Users must complete the Company's registration process on the Mall, providing accurate information, including names, email addresses, and any other required details.

(2)Upon selecting the Company’s membership, Members agree :

-to abide by these Terms and Conditions, including any additional terms specific to the Subscription service;

-to keep their account information up to date for effective communication;

-to safeguard their account credentials, including login IDs and passwords, and promptly notify the Company of any unauthorized access or potential security breaches;

-to be responsible for any activities that occur under their account.

(3)As Members, Users may benefit from various privileges, including but not limited to order tracking, personalized recommendations, and participation in loyalty programs.

(4)Membership status may be subject to modification, suspension, or termination at the discretion of the Company, and the Company reserves the right to modify or terminate the Membership Subscription Service at any time. Members will be notified of changes in advance.

Article 16. Withdrawal & Disqualification

(1)Members may withdraw from the Mall or cancel their subscription anytime through their account settings.

(2)The Company reserves the right to disqualify or terminate a Member's account for any violation of these Terms and Conditions, or for any other reason deemed appropriate.

(3)In case of disqualification, Members will be notified, and access to the Mall will be restricted.

Article 17. Changes to Terms

(1)The Company reserves the right to modify these Terms and Conditions at any time. Significant changes will be effective immediately upon posting on the Mall.

(2)Customers are responsible for reviewing the Terms and Conditions periodically for updates. Continued use of the Mall after any changes constitutes acceptance of the modified terms.

Article 18. Notification for Members

Notifications and communications to Members will be sent to the email address provided during registration. Members are responsible for maintaining accurate contact information. The Company is not liable for any consequences resulting from outdated or inaccurate Member contact details.

Article 19. Governing Law and Dispute Resolution

These Terms and Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles. The Seoul Central District Court shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions, their subject matter, or formation.

These Terms and Conditions shall be applicable from 2024.01.31.
